1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Sophyra Labs LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of New Mexico, United States. By engaging our digital marketing consulting services, accessing our website, or entering into any service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms apply to all services provided by Sophyra Labs LLC, including but not limited to search engine optimization (SEO), digital strategy development, social media marketing, content marketing, analytics consulting, and any other digital marketing services we may offer. If you do not agree with any part of these Terms, you must not use our services or engage with our company.

2. Services Description

Sophyra Labs LLC provides professional digital marketing consulting services designed to help businesses improve their online presence, increase brand visibility, and achieve their marketing objectives. Our services are categorized into three main areas:

2.1 SEO & Digital Strategy

Our SEO and digital strategy services include comprehensive keyword research and analysis, technical SEO audits, content strategy development, competitive analysis, and performance tracking and reporting. We conduct thorough assessments of your current digital presence and develop customized strategies to improve search engine rankings, increase organic traffic, and enhance overall online visibility. Our approach combines industry best practices with data-driven insights to deliver sustainable results.

2.2 Social Media Marketing

Our social media marketing services encompass content creation and curation, social media advertising campaign management, community management, influencer partnership facilitation, and comprehensive analytics and performance optimization. We work across all major social media platforms to create engaging content that resonates with your target audience, manage your brand presence professionally, and execute targeted advertising campaigns designed to increase brand awareness, engagement, and conversions.

2.3 Content Marketing & Analytics

Our content marketing and analytics services include comprehensive content strategy and planning, professional blog and article writing, video and visual content creation, advanced analytics setup and configuration, and conversion rate optimization. We develop high-quality, engaging content that aligns with your brand voice and marketing objectives while implementing sophisticated analytics systems to track performance, measure ROI, and provide actionable insights for continuous improvement.

3. Service Agreement and Scope

Each client engagement begins with a detailed consultation to understand your specific business needs, objectives, and expectations. Following this consultation, we will provide a comprehensive proposal outlining the scope of work, deliverables, timeline, and investment required. The formal service agreement will be established through a signed contract or statement of work that details the specific services to be provided, project milestones, and performance metrics.

The scope of work may be modified during the engagement period by mutual written agreement between both parties. Any changes to the original scope may result in adjustments to the timeline, deliverables, or investment required. We reserve the right to decline requests for services that fall outside our area of expertise or that may conflict with our professional standards or ethical guidelines.

4. Client Responsibilities and Obligations

Successful digital marketing campaigns require active collaboration between our team and our clients. As a client of Sophyra Labs LLC, you agree to provide timely access to necessary information, systems, and personnel required for the successful execution of the agreed-upon services. This includes but is not limited to website access credentials, social media account access, existing marketing materials, brand guidelines, and any other relevant business information.

You are responsible for ensuring that all content, materials, and information provided to us are accurate, current, and legally compliant. You warrant that you have the necessary rights and permissions to use any intellectual property, images, or content that you provide for use in our marketing efforts. You also agree to respond to our requests for feedback, approvals, and decisions within reasonable timeframes to avoid project delays.

5. Payment Terms and Conditions

Payment terms will be specified in the individual service agreement or statement of work. Generally, our payment structure may include an initial deposit, milestone-based payments, or monthly retainer fees depending on the nature and duration of the engagement. All fees are quoted in United States Dollars (USD) unless otherwise specified.

Invoices are typically due within thirty (30) days of the invoice date unless otherwise agreed upon in writing. Late payments may be subject to a service charge of one and one-half percent (1.5%) per month or the maximum rate permitted by law, whichever is less. We reserve the right to suspend services for accounts that are more than thirty (30) days past due until payment is received.

In the event of non-payment, we reserve the right to pursue all available legal remedies, including but not limited to collection efforts, legal action, and the right to retain or remove any work product until payment is received in full. The client will be responsible for all costs associated with collection efforts, including reasonable attorney fees and court costs.

6. Intellectual Property Rights

Upon full payment of all fees, the client will own the rights to any original content, strategies, and materials specifically created for their account, excluding our proprietary methodologies, tools, and processes. However, we retain the right to use general knowledge, skills, experience, and techniques gained during the engagement for future client work.

Sophyra Labs LLC retains ownership of all proprietary methodologies, processes, tools, templates, and systems developed by our company. We also retain the right to use anonymized case studies and results for marketing and educational purposes, provided that no confidential client information is disclosed.

Any pre-existing intellectual property owned by either party prior to the engagement remains the property of the respective owner. Third-party tools, platforms, or services used in the delivery of our services remain the property of their respective owners, and usage rights are governed by the terms and conditions of those third-party providers.

7. Confidentiality and Non-Disclosure

We understand that in the course of providing our services, we may have access to confidential and proprietary information about your business, including but not limited to business strategies, financial information, customer data, trade secrets, and other sensitive information. We agree to maintain the confidentiality of all such information and will not disclose it to any third parties without your prior written consent.

Our confidentiality obligations will survive the termination of our service agreement and will remain in effect indefinitely unless the information becomes publicly available through no fault of our own or is required to be disclosed by law or court order. We will take reasonable precautions to protect your confidential information using the same degree of care that we use to protect our own confidential information.

Similarly, we may share certain proprietary methodologies, strategies, or insights with you during our engagement. You agree to maintain the confidentiality of any proprietary information shared by Sophyra Labs LLC and not to use such information for any purpose other than the intended business relationship.

8. Performance Expectations and Disclaimers

While we strive to deliver exceptional results for all our clients, digital marketing outcomes can be influenced by numerous factors beyond our control, including but not limited to market conditions, competition, algorithm changes by search engines and social media platforms, economic factors, and industry-specific challenges. Therefore, we cannot guarantee specific results, rankings, traffic levels, or conversion rates.

Our performance projections and estimates are based on historical data, industry benchmarks, and our professional experience, but they should be considered as goals rather than guarantees. We will use our best efforts and professional expertise to achieve the objectives outlined in our service agreement, but results may vary based on numerous external factors.

We commit to providing regular reporting and transparent communication about campaign performance, including both successes and challenges. If performance falls significantly below expectations, we will work collaboratively with you to identify issues and implement corrective measures to improve results.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Sophyra Labs LLC's total liability for any claims arising out of or related to our services, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the client for services during the twelve (12) months preceding the claim or $10,000, whichever is less.

In no event shall Sophyra Labs LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or loss of business opportunities, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

10. Termination

Either party may terminate the service agreement with thirty (30) days written notice to the other party. In the event of termination, the client will be responsible for payment of all services performed up to the termination date, and we will provide a final report summarizing work completed and results achieved.

We reserve the right to terminate the agreement immediately in cases of non-payment, breach of contract, or if the client engages in activities that we determine to be unethical, illegal, or harmful to our reputation. In such cases, all outstanding fees become immediately due and payable.

Upon termination, we will transfer ownership of completed work product to the client upon receipt of final payment. However, we retain the right to remove our branding and discontinue any ongoing services or maintenance that require our active involvement.

11. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or related to our services shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Albuquerque, New Mexico.

Before pursuing formal legal action, both parties agree to attempt to resolve any disputes through good faith negotiations. If direct negotiations are unsuccessful, the parties may agree to participate in mediation conducted by a mutually acceptable mediator in Albuquerque, New Mexico.

12. Modifications and Updates

Sophyra Labs LLC reserves the right to modify these Terms at any time by posting updated terms on our website or by providing written notice to clients. Continued use of our services after such modifications constitutes acceptance of the updated Terms. We encourage clients to review these Terms periodically to stay informed of any changes.

Any modifications to the specific terms of an individual service agreement must be made in writing and signed by both parties. Verbal agreements or modifications are not binding and will not be enforced.

13. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the original intent of the parties.

These Terms, together with any signed service agreements or statements of work, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter herein. No waiver of any provision of these Terms shall be deemed or shall constitute a waiver of any other provision.
